1. Purpose
These terms of sale apply to the ShiftVoice subscription, a phone reception service provided by an artificial intelligence assistant, offered by ShiftAI SASU, with share capital of €5,000, registered with the Paris Trade and Companies Register under number 991 614 470, with its registered office at 58 rue de Monceau, 75008 Paris, France ("ShiftAI").
The service is reserved for professionals ("the Client"). Any order implies acceptance of these terms, which prevail over any other document of the Client unless otherwise agreed in writing.
2. Description of the service
The assistant answers calls received on the number or numbers assigned to the Client, in French, 24 hours a day. It introduces itself as an artificial intelligence from the start of the call.
It answers from the fact sheets approved by the Client and from the Client's opening hours, texts the Client's booking link, records callback requests, emails a summary of each call, and creates or updates the contact in the Client's HubSpot account.
At the date of these terms, the assistant does not transfer calls live, does not make outbound calls, speaks only French and takes neither payments nor payment details. The content of each plan is the one described on the pricing page of shiftai.ai at the date of the order.
3. Order and setup
An order is made by accepting a quote or an order form stating the plan, the billing period and the numbers requested.
Setup covers a one-hour workshop, writing the fact sheets from the Client's documents, assigning the number, configuring the integrations, tests on the Client's fact sheets and go-live. The target lead time is one week from receipt of the requested items. It is given for information only.
The Client provides its presentation documents, its opening hours, access to its Cal.com calendar and HubSpot account, the email address that receives the summaries and, for a geographic number, a company registration extract (K-bis) and proof of address. The Client reviews and approves the fact sheets before go-live, then turns on call forwarding from its own line.
4. Prices
Prices are those of the price list published on shiftai.ai at the date of the order, or those of the accepted quote. They are stated in euros excluding VAT. VAT at the applicable rate is added.
Setup fees are billed once, on ordering. They are waived for a yearly subscription, which is billed for ten months out of twelve.
5. Minutes, texts and numbers
Each plan includes a monthly allowance of call minutes and texts. Minutes are counted per started minute, call by call. Unused minutes and texts do not roll over to the following month.
When the allowance is exceeded, no call is refused. Extra minutes, texts and numbers are billed at the end of the month at the rate of the subscribed plan.
Numbers are assigned by ShiftAI and made available to the Client for the duration of the subscription. A national 09 number is available immediately. A geographic number is assigned within about three business days after receipt of the supporting documents.
6. Billing and payment
The monthly subscription is billed at the start of the month, overages at the end of the month. The yearly subscription is billed in one go, at the start of each period.
Invoices are payable on receipt, by bank transfer. Any late payment automatically incurs penalties at three times the French statutory interest rate, and a fixed recovery fee of €40 (articles L. 441-10 and D. 441-5 of the French Commercial Code).
If a formal notice remains unanswered for fifteen days, ShiftAI may suspend the service until full payment.
7. Term and cancellation
The monthly subscription has no commitment. It can be cancelled at any time by email to contact@shiftai.ai. Cancellation takes effect at the end of the current month.
The yearly subscription is entered into for twelve months. It renews for the same period unless cancelled at least one month before its end date. It is not refundable during a period.
When the subscription ends, the assistant stops answering and the Client turns off its call forwarding. Data is deleted according to the periods set out in section 9.
8. Obligations of the parties
ShiftAI provides the service diligently, under a best-efforts obligation. It replays its test scenarios every time the assistant changes and provides the support included in the plan: email for Essentiel, priority email for Pro, email and phone for Business.
The Client is responsible for the accuracy of the information in its fact sheets and for keeping it up to date. It informs ShiftAI of any change to its hours, services or instructions. It uses the service in accordance with the law.
9. Personal data
For calls received, the Client is the data controller and ShiftAI acts as its processor, on its behalf and on its instructions. A data processing agreement compliant with Article 28 of the GDPR is provided to the Client with the order or on request.
Data is processed in the European Union. No audio recording is made and no payment data is collected. Transcripts are kept for 180 days and the audit log for 365 days. The Client may request different periods.
The list of ShiftAI's sub-processors is given in the site's privacy policy.
10. Artificial intelligence
The assistant tells every caller that it is an artificial intelligence, in accordance with Article 50 of the European Artificial Intelligence Act.
It answers from the fact sheets approved by the Client and refuses anything outside its scope. Like any automated system, it may misunderstand a request. Every call produces a summary sent to the Client, who is responsible for following it up.
11. Availability
ShiftAI uses reasonable means to keep the service available, without guaranteeing continuous availability. Interruptions may occur for maintenance or if an operator or provider fails. An availability commitment can be agreed on quote for the Business plan.
12. Liability
ShiftAI's liability is limited to direct and proven damage, and capped at the amounts paid by the Client over the last twelve months. ShiftAI is not liable for indirect damage, including loss of revenue or customers, nor for the consequences of inaccurate information in the Client's fact sheets.
13. Governing law and disputes
These terms are governed by French law. Failing an amicable settlement, any dispute falls under the exclusive jurisdiction of the Paris Commercial Court.
